Terms of Service

The terms that govern your access to and use of Hoshi.

Also referred to as the User Agreement. Last updated: July 20, 2026.

These Terms of Service (“Terms,” or this “Agreement”) govern your access to and use of Hoshi — the website, web applications, machine sidecar, command-line client, and desktop and mobile applications, together with the underlying machines and agent sessions they provide (together, the “Service”) — as operated by [Company Legal Name] (“Hoshi,” “we,” “us,” or “our”). “You” means the individual or organization creating an account or otherwise using the Service.

By checking “I agree to the Terms of Service” during registration, by continuing past the notice shown alongside sign-in with Google, GitHub, a magic link, a one-time code, or single sign-on, or by otherwise accessing or using the Service, you accept and agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

In short (this box is a convenience summary only — it is not part of the Agreement, and the numbered sections below are what actually govern): using Hoshi as we operate it is currently free; we're a small, pre-release product with no uptime guarantee; you're responsible for what you and your agent do on your own machine; and, to the extent the law allows, we provide the Service “as is” without liability for how it's used, for downtime, or for lost data.

1. The Service

Hoshi provisions each user a personal, isolated cloud machine running an autonomous coding agent, reachable through a chat-centric web, desktop, mobile, or command-line client. Organizations may publish project templates (“boilerplates”) that users pull onto their own machine as a checkout, and work happens in long-lived conversations with the agent (sessions). The Service is under active development, and its features, interfaces, and underlying models may change, be added, or be removed at any time.

2. Eligibility and Your Account

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. You're responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials and any active sessions, and for all activity that occurs under your account, whether or not you authorized it. Notify us promptly at [contact email] if you suspect unauthorized access to your account.

An administrator who deploys a self-hosted instance of the Hoshi software during first-run setup does so as an installer of that software, not as a registered user of a service we operate — Section 15 governs that relationship instead of the rest of this Agreement.

3. Fees; Currently Free of Charge

As of the date of these Terms, use of the Service as we operate it is provided free of charge. We do not currently charge you to create an account, provision a machine, or run agent sessions on the instance we operate.

That said:

  • the Service includes billing infrastructure capable of metering usage and charging organizations for machine time on a subscription basis, and we reserve the right to introduce paid plans, usage limits, or fees for some or all features in the future;
  • if we do, we'll give you reasonable advance notice before any change takes effect for your account, and your continued use of the Service after that notice takes effect constitutes acceptance of it;
  • nothing here limits an organization's ability to opt into a paid subscription voluntarily, or a self-hosted operator's ability to charge its own users under its own terms (Section 15); and
  • fees you separately incur from third-party providers — AI model providers, integrations, or other connected services — are never fees “of the Service,” and are your responsibility regardless of whether your use of the Service itself is free (Section 6).

4. Your Content, Your Machine

Your Content” means the code, files, prompts, configuration, credentials, and other data you or the agent create, upload, or store on your machine or through the Service. You retain all ownership rights in Your Content. You grant us a limited license to host, store, transmit, execute, and process Your Content solely to operate, maintain, and provide the Service to you — for example, running your sessions, executing commands on your machine, and displaying your content back to you.

Your machine is provisioned with broad, often administrative-level, access for your own agent and command-line use — closer to owning a personal computer than to using a shared, locked-down environment. You are solely responsible for what you and your agent install, configure, run, and expose from your machine, including any software, scripts, or open ports. We don't monitor the content of your sessions or your machine as a matter of course, and we have no obligation to do so.

You're responsible for backing up Your Content that matters to you. While we take reasonable steps to operate the Service reliably, we don't guarantee against data loss, and — consistent with Section 11 — we are not liable for Your Content being lost, corrupted, or made unavailable.

5. Acceptable Use

You agree not to use the Service to:

  • violate any applicable law or regulation, or the rights of any third party (including intellectual property, privacy, or export-control laws);
  • transmit malware, or conduct unauthorized intrusion, denial-of-service, or other attacks against any system, whether ours or a third party's;
  • mine cryptocurrency, run persistent compute-for-hire workloads unrelated to your own development work, send spam, or otherwise use machine resources in a way that degrades the Service for others;
  • attempt to breach, probe, or circumvent the isolation between your machine and any other tenant's machine or data;
  • reverse-engineer, scrape, or resell the Service, or interfere with its normal operation (including rate limits and abuse protections); or
  • use the Service to generate, store, or distribute content that is unlawful, infringing, or that facilitates harm to others.

We may investigate suspected violations and may remove content or suspend or terminate access as described in Section 9 — including on an emergency basis and without prior notice, where we reasonably believe it necessary to protect the Service or others.

6. Third-Party Services, AI Models, and Integrations

The agent can be connected to AI model providers, package registries, source-control hosts, and other third-party integrations you choose to configure — including with your own API keys or credentials. Those providers' own terms, privacy policies, and pricing apply to your use of them, and we're not a party to your agreement with them. You're responsible for complying with those terms, for any costs you incur with those providers, and for reviewing what access and data you grant to any integration you connect.

7. AI-Generated Content

The agent uses generative AI models to plan, write, and execute work on your behalf. AI-generated output — including code, text, and actions taken on your machine — may be inaccurate, incomplete, or unsuitable for your purposes, and may be produced by third-party models we don't control. You're responsible for reviewing the agent's output and actions before relying on them, deploying them, or letting them affect production systems or data outside your Hoshi machine.

8. Beta Features; No Availability Commitment

Hoshi is offered on a pre-release, “as available” basis. We do not guarantee any particular level of uptime, response time, or availability, and we do not currently offer a service-level agreement. The Service may be interrupted for maintenance, may experience outages, and individual features may be changed, deprecated, or discontinued at any time, with or without notice. Given the Service's free (Section 3) and pre-release nature, you shouldn't rely on it for uses where downtime or data loss would be unacceptable.

9. Suspension and Termination

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access to the Service, in whole or in part, at any time — with notice where practicable, or without notice where we reasonably believe it necessary to prevent harm, abuse, or legal exposure — including for a violation of Section 5, non-payment of any fees that come to apply to your account under Section 3, or discontinuation of the Service generally. On termination, your right to use the Service ends immediately; we may delete Your Content and your machine after a reasonable period, and we're not obligated to retain or provide it to you afterward, so export anything you need beforehand.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE OR RELIABLE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) HOSHI AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) HOSHI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (II) [USD 100].

Because the Service is currently offered free of charge (Section 3), you acknowledge that the amount in clause (b)(i) may be zero, and that this allocation of risk is a material part of the basis on which we offer the Service at no cost.

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, for death or personal injury caused by negligence, or for gross negligence or willful misconduct.

12. Indemnification

You agree to defend, indemnify, and hold Hoshi and its officers, employees, and agents harmless from any claim, liability, damages, and expense (including reasonable legal fees) arising out of: (a) Your Content; (b) your use of the Service in violation of these Terms or applicable law; or (c) your violation of any third party's rights, including through integrations or AI providers you connect to your machine.

13. Privacy

Operating the Service requires us to process account information (such as your name and email address) and, where applicable, payment information handled by our payment processor. This section isn't a substitute for a full privacy policy — a dedicated Privacy Policy describing what we collect, why, and your rights over it will be published separately and linked from this page. 14. Changes to the Service or These Terms

We may modify these Terms from time to time. If we make a material change, we'll provide reasonable notice — for example, by posting an updated version on this page with a new “Last updated” date, or by notifying you through the Service or by email. Changes take effect when posted unless stated otherwise; your continued use of the Service after that point constitutes acceptance. If you don't agree to an updated version, your remedy is to stop using the Service and, if you wish, delete your account.

15. Self-Hosted Deployments

The software behind Hoshi can also be deployed by a third party on infrastructure that party controls. These Terms govern the Service as we operate it ourselves; they don't apply to an instance operated by someone else, and we're not responsible for such an instance, its terms, or its operator's conduct. If you're using a self-hosted deployment, the terms (if any) set by that deployment's operator govern instead.

16. Intellectual Property

The Service, including its software, design, and branding, is owned by Hoshi or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, we reserve all right, title, and interest in the Service. You may not use our name, logo, or trademarks without our prior written permission.

17. Governing Law and Disputes

These Terms are governed by the laws of [Governing Law Jurisdiction], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service is subject to the exclusive jurisdiction of the courts located in [Venue], except where applicable law requires otherwise.

18. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions stay in full force, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable. Our failure to enforce any provision isn't a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with any policies referenced in them, are the entire agreement between you and Hoshi regarding the Service.
